ARTICLES OF ORGANIZATION

Article I.
The name of this organization is Private Academic Libraries Section of the
Kansas Library Association (PAL).
Article II.
The purpose of the Private Academic Libraries Section is to promote academic
libraries and their programs in private post-secondary educational institutions
in
Kansas and to encourage cooperation among libraries.
Article III.
Membership is open to any KLA member interested in promoting Private Academic
Libraries upon payment of annual dues collected by the Kansas Library
Association.
Article IV.
A. Officers. The officers of PAL shall consist of a Chairperson and a
Secretary-Treasurer. These officers may be elected by mail or e-mail ballot
circulated in February, with election results announced at the Spring meeting.
The Chairperson will be elected in even-numbered years to serve a two-year term.
The Secretary- Treasurer will be elected in odd-numbered years to serve a
two-year term. Terms begin July 1 and end June 30. No officer may serve more
than two consecutive terms.
B. Nominating Committee. A three-member Nominating Committee may be
elected by mail or e-mail ballot circulated in February, with election results
announced at the Spring meeting. Committee members will serve for a period of
one year beginning that July 1 and continuing through June 30 of the following
year. No committee member may serve more than two consecutive terms. The PAL
Chairperson will appoint the Chairperson of the Nominating Committee from those
who are elected to the committee.
C. Program Committee. The Program Committee shall consist of the
Chairperson, Secretary-Treasurer and one PAL member to be appointed by the
Chairperson. The appointed member shall serve a two-year term concurrent with
the Chairperson’s term. The purpose of the Program Committee is to solicit
program ideas from the PAL membership or to determine topics of interest and
seek out presenters in advance of the call for conference programs.
D. Other Committee Representatives. The Nominating Committee will be
charged with slating nominees for other committee assignments. These persons
will be elected by either mail or email ballot.
E. Elections. The Nominating Committee will prepare a ballot of two
candidates for each elected office and a slate of three candidates for
Nominating Committee. Candidates will be announced at the January meeting. For
each office, the candidate receiving the largest number of votes cast shall be
elected. In case of a tie, the Chairperson of the Nominating Committee will draw
names to determine the new officer. Only PAL members are eligible to vote or
hold office.
F. Vacancies. In the event of a vacancy in an elective office or on the
Nominating Committee, the Chairperson will appoint a member of the section to
fill the vacancy until the next election. Should the position of Chairperson be
vacant, the Secretary-Treasurer will appoint. Should both of the elective
offices be vacant, the Chairperson of the Nominating Committee will appoint.
Article V.
Three meetings will be held during the academic year. One meeting will take
place during the CULS Fall Conference; the second meeting will be held in
January at a site to be determined by the membership; the third meeting will
take place during the KLA Conference in the spring. Special meetings may be
called by the officers.
Article VI.
Members present shall constitute a quorum.
Article VII.
Each institution wishing to participate in the PALS database consortium will
have a minimum of one dues-paying PALS member.
Article VIII.
Amendments, new articles of organization, and special assessments require a
majority of the votes cast at a regular or special meeting for passage.
